Terms of Service

These Terms of Service ("Terms") govern your access to and use of Guspora™ ("Service"), operated by Ferguson Fire Protection LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Guspora™, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a business, government agency, or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Guspora™ is a software-as-a-service (SaaS) platform providing a three-party compliance ecosystem connecting Authority Having Jurisdiction (AHJ) inspectors, building owners and managers ("Customers"), and licensed fire protection service companies ("Service Providers"). The platform provides:

  • AHJ Inspection Tools: Inspection management, deficiency flagging, compliance analytics, and service provider qualification verification
  • Customer Compliance Portal: Deficiency visibility, service provider selection, compliance history, and document management
  • Service Provider Workspace: Credential management, deficiency repair tracking, real-time status updates, and technician credential verification
  • Credential Verification Engine: Continuous monitoring of company licenses, technician certifications, manufacturer authorizations, and insurance status
  • AI-Assisted Features: Report generation, analysis, and documentation tools
  • Equipment Tracking: Equipment database management and compliance reporting

3. Account Types and Registration

3.1 Account Types

Three distinct account types:

AHJ Inspector Accounts are for fire marshals, fire inspectors, code enforcement officers, and other officials with authority to conduct inspections and enforce fire protection codes. AHJ accounts require verification of jurisdiction, credentials, and authority before activation.

Customer Accounts are for building owners, property managers, facility managers, and other parties responsible for maintaining fire protection compliance at one or more properties. Customers may self-register or be invited by an AHJ Inspector or Service Provider.

Service Provider Accounts are for licensed fire protection companies and their individual technicians who perform inspection, testing, maintenance, and repair services. Service Provider accounts require comprehensive credential verification at both the company and individual technician level.

3.2 Registration Requirements

To create an account, you agree to:

  • Provide accurate, current, and complete information
  • Complete all required verification steps for your account type
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use
  • Keep all credential documentation current and accurate

3.3 Verification

All accounts are subject to verification before full platform access is granted. Verification requirements vary by account type and are detailed in Section 8 (Credential Verification). We reserve the right to suspend or terminate accounts that fail verification, provide false information, or violate these Terms.

4. Subscription and Payment

4.1 Free Accounts

AHJ Inspector accounts and Customer accounts are provided at no charge. These accounts include full access to inspection, deficiency management, compliance tracking, and reporting features applicable to their role.

4.2 Paid Accounts — Service Providers

Service Provider access requires a paid subscription consisting of:

  • Company Subscription: A monthly fee covering company account access, credential verification services, insurance monitoring, and administrative dashboard. A valid Certificate of Insurance (COI) must be on file at all times.
  • Per-Technician Fee: A monthly fee per active technician covering individual credential verification, license monitoring, manufacturer certification tracking, and verified technician badge.

Current pricing is available at guspora.com/pricing. All fees are quoted in U.S. dollars.

4.3 Free Trial

New Service Provider accounts receive a 30-day free trial with full platform functionality. No payment information is required to begin the trial. At the end of the trial period, a paid subscription is required to maintain access.

4.4 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • Payment is processed through Stripe
  • You authorize us to charge your payment method for all fees incurred
  • Per-technician fees are adjusted automatically as technicians are added or removed

4.5 Refunds

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: Pro-rated refund available within first 30 days
  • Contact support@guspora.com for refund requests

4.6 Price Changes

We may change pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

5. User Data and Content

5.1 Your Data

You retain ownership of all data, files, reports, and content you upload or create using the Service ("User Content"). We do not claim ownership of your User Content.

5.2 License to Us

You grant us a limited license to store, process, and display your User Content solely to provide the Service to you and to facilitate the three-party compliance ecosystem as described in these Terms. This includes sharing deficiency information, credential verification data, and repair status updates between authorized parties as described in Section 6.

5.3 Three-Party Data Sharing Consent

By using the Service, you consent to the following data sharing between authorized parties:

AHJ Inspectors may view: deficiency details they create, customer property information within their jurisdiction, service provider credentials and technician verification status, and repair progress on deficiencies within their jurisdiction.

Customers may view: all deficiency details for their properties, service provider company profiles and credentials, individual technician verification badges and certification status, and real-time repair progress for deficiencies at their properties.

Service Providers may view (only after dual approval as described in Section 6): deficiency details for approved access requests, AHJ notes and requirements for those deficiencies, and customer contact information for assigned deficiencies.

5.4 Data Backup

While we maintain backups, you are responsible for maintaining your own backups of critical data. We are not liable for data loss.

5.5 Data Export

You may export your data at any time through the Service dashboard.

6. Deficiency Lifecycle and Dual-Approval System

6.1 Deficiency Creation

AHJ Inspectors create deficiency records during inspections. Each deficiency includes a description, applicable code citations, photographs, severity classification, and equipment identification. The AHJ Inspector determines whether each deficiency requires final AHJ sign-off upon completion or whether Service Provider completion is sufficient.

6.2 Customer Notification

Customers are notified of deficiencies at their properties with full details including descriptions, photographs, and code citations. No deficiency information is withheld from the property owner or authorized manager.

6.3 Service Provider Selection

The Customer's choice of Service Provider is final. AHJ Inspectors may not assign, direct, or mandate the use of any specific Service Provider.

The Customer selects the Service Provider to address each deficiency. This selection is entirely at the Customer's discretion. While AHJ Inspectors may view which Service Providers are verified and qualified for specific equipment types (as a compliance verification tool), the AHJ Inspector may not assign, direct, or mandate the use of any specific Service Provider. The Customer's choice is final.

Customers may select from verified Service Providers registered on the platform or invite a Service Provider not yet registered by providing their contact information.

6.4 Dual-Approval Access

When a Customer selects a Service Provider for a deficiency, the Service Provider must receive approval from both the Customer and the AHJ Inspector before accessing deficiency details. Approvals may occur in any order and are independent of each other. Until both approvals are received, the Service Provider may only see the general location, equipment category, and requesting Customer name — not specific deficiency details.

6.5 Access Revocation

Either the Customer or AHJ Inspector may revoke a Service Provider's access to a deficiency at any time. Upon revocation, the Service Provider immediately loses access to all deficiency details. Work documentation completed prior to revocation remains in the permanent audit trail.

6.6 Completion and Clearance

Upon completing a repair, the Service Provider submits completion documentation. If the AHJ Inspector required final sign-off, the deficiency moves to "Pending AHJ Review" status. The AHJ Inspector may clear the deficiency or return it for additional work. If final sign-off was not required, the deficiency is cleared upon Service Provider completion. A complete audit trail is maintained permanently.

7. Acceptable Use

7.1 General Prohibitions

You agree NOT to:

  • Use the Service for any illegal purpose
  • Violate any applicable laws or regulations
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Resell, sublicense, or redistribute the Service without authorization
  • Use the Service to store or transmit infringing or illegal content
  • Misrepresent your identity, credentials, or affiliation

7.2 Anti-Bid-Board Provisions

The Service is a compliance communication platform, NOT a competitive bidding marketplace.

You specifically agree NOT to:

  • Use deficiency information to solicit competitive bids
  • Contact Customers about deficiencies for which you do not have approved access
  • Share deficiency details with unauthorized third parties for competitive purposes
  • Create, operate, or participate in secondary marketplaces based on Guspora™ deficiency data
  • Use the Service's credential verification or qualification data to compile competitive intelligence
  • Broadcast, publish, or distribute information about available deficiency work
  • Use automated tools to monitor or scrape deficiency data

7.3 Credential Integrity

Service Providers and their technicians agree to:

  • Provide accurate and truthful credential information at all times
  • Promptly update credentials upon renewal, change, or revocation
  • Not misrepresent any license, certification, or authorization status
  • Accept automatic suspension upon credential lapse

7.4 Enforcement

Violation of any acceptable use provision may result in immediate account suspension, permanent termination, loss of access to all deficiency data, and notification to relevant AHJ Inspectors and Customers.

8. Credential Verification

8.1 Company-Level Verification

Service Provider companies must maintain current and verified:

  • State fire protection contractor license(s)
  • General liability insurance with Certificate of Insurance on file
  • Workers compensation insurance with certificate on file
  • Business license and good standing status

8.2 Technician-Level Verification

Individual technicians must maintain current and verified:

  • Individual state technician license
  • Manufacturer-specific certifications (CaptiveAire, Buckeye, Ansul, Kidde, Amerex, and others as applicable)
  • Factory training completion records
  • ICC certifications (where applicable)

8.3 Manufacturer Authorization Tracking

Manufacturer certifications are tracked at the individual technician level, not the company level. A company may hold a manufacturer dealer agreement, but only individually certified and authorized technicians may be assigned to deficiencies involving that manufacturer's equipment. The Service cross-references technician assignments against manufacturer-authorized technician databases where available.

8.4 Automatic Suspension

When any required credential expires, is revoked, or cannot be verified:

Company license lapseAll technicians under that company are immediately suspended from all deficiency assignments.

Suspensions are visible to AHJ Inspectors and Customers. Reinstatement requires uploading updated, verified credentials.

8.5 Verification Disclaimer

Guspora™ verifies credentials against available databases and documentation provided by users. Credential verification does not constitute an endorsement, guarantee of work quality, or certification of competence. Users are responsible for their own due diligence in selecting service providers and verifying qualifications.

9. Intellectual Property

9.1 Our Property

The Service, including its software, design, logos, and documentation, is owned by Ferguson Fire Protection LLC and protected by copyright, trademark, and other intellectual property laws. "Guspora" is a trademark of Ferguson Fire Protection LLC.

9.2 Feedback

If you provide suggestions or feedback about the Service, we may use it without obligation to you.

10. AI-Generated Content

10.1 AI Features

The Service uses artificial intelligence to assist with report generation and analysis. AI-generated content is provided as a tool to assist you, not as a replacement for professional judgment.

10.2 Review Responsibility

You are responsible for reviewing and verifying all AI-generated content before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

10.3 Professional Standards

AI-generated inspection reports should be reviewed against applicable NFPA standards, local codes, and professional requirements before submission to authorities or customers.

11. Third-Party Services

The Service integrates with third-party services including:

  • Stripe (payment processing)
  • Amazon Web Services (hosting and storage)
  • OpenAI/Anthropic (AI features)
  • Twilio (SMS and voice notifications)
  • State licensing databases (credential verification)
  • Manufacturer technician databases (authorization verification)

Your use of these services is subject to their respective terms. We are not responsible for third-party service availability or accuracy.

12. Disclaimers

12.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 No Guarantee

We do not guarantee that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results from using the Service will meet your requirements
  • Credential verification data is complete, accurate, or current at all times
  • Manufacturer database information is comprehensive or real-time

12.3 Professional Services Disclaimer

Guspora™ is a software platform for compliance communication and tracking. It does not provide fire protection engineering, legal, or professional consulting services. AHJ Inspectors' use of the platform does not replace or supplement their official inspection authority. Service Providers' use of the platform does not guarantee compliance with applicable codes, standards, or regulations. You are responsible for ensuring your work meets all applicable requirements.

12.4 Credential Verification Disclaimer

Guspora's credential verification system is a tool to assist in verifying licenses, certifications, and insurance status. It does not guarantee:

  • The accuracy or completeness of credential information
  • The quality or competence of any service provider or technician
  • The validity of work performed by verified technicians
  • That all required credentials have been identified or verified

Users should conduct their own due diligence when selecting service providers.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FERGUSON FIRE PROTECTION LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR DAMAGES ARISING FROM RELIANCE ON CREDENTIAL VERIFICATION DATA.

13.2 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR FREE ACCOUNT HOLDERS (AHJ INSPECTORS AND CUSTOMERS), OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

13.3 Basis of Bargain

These limitations reflect the allocation of risk between you and us and are essential to our ability to offer the Service, including free access for AHJ Inspectors and Customers.

14. Indemnification

You agree to indemnify, defend, and hold harmless Ferguson Fire Protection LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content
  • Inaccurate or fraudulent credential information you provide
  • Work performed or not performed in connection with deficiencies managed through the Service
  • Your selection of or reliance on any service provider identified through the Service

15. Termination

15.1 By You

You may cancel your subscription at any time through your account settings or by contacting support@guspora.com.

15.2 By Us

We may suspend or terminate your access if you:

  • Violate these Terms, including anti-bid-board provisions
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Provide false or misleading credential information
  • Fail to maintain required credentials (Service Providers)

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • Active deficiency access is revoked immediately
  • You may request export of your data within 30 days
  • We may delete your data after 30 days
  • Audit trail data related to completed deficiencies is retained per legal requirements
  • Provisions that should survive termination will remain in effect

16. Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles.

16.2 Arbitration

Any disputes shall be resolved through binding arbitration in Nelson County, Kentucky, under the rules of the American Arbitration Association. You waive the right to participate in class actions.

16.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or breaches of the anti-bid-board provisions.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

17.2 Amendments

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

17.3 Waiver

Failure to enforce any provision does not waive our right to enforce it later.

17.4 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

17.5 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations freely.

17.6 Government Users

AHJ Inspectors and other government users acknowledge that their use of the Service is subject to applicable government procurement and ethics regulations. The Service does not replace official government inspection processes or legal authority.
